JOB DESCRIPTION

First National Capital, currently the 6th largest independent equipment finance and leasing company in the U.S., is seeking a qualified full-time Vice President, Legal to provide expertise in the documentation and support of commercial lease/loan activities for essential business equipment as well as other corporate legal matters.

GENERAL RESPONSIBILITIES

Reporting to the COO, the VP of Legal will manage the documentation department, process, and workflow where primary functions include the administration of commercial equipment lease and loan documentation and the closing and funding of transactions. Provide transactional support and assume lead role in modifying and negotiating core lease and loan documentation; creating and negotiating documentation for non-standard transactions; reviewing and negotiating agreements with customer and customer’s outside counsel; preparation of non-standard amendments and waivers; as well as any assignments and third-party agreements. This position will audit and maintain compliance to standard operating procedures, review all documentation prior to execution (external and internal) and prior to funding; further develop and maintain effective processes to follow up and clear any document, funding, or compliance exceptions throughout the lease administration process. Responsible for creating, maintaining, and publishing various reports for Sr. Management and work closely with all department leaders to develop and implement processes and procedures to help drive efficiencies throughout the organization. Responsible for the ongoing development of all members of the department and responsibility for work product and other critical risk management activities needed to minimize credit, documentation, and operational risks in commercial equipment financing. In addition, this position will work and interface with the President in other legal matters of a corporate nature.

ESSENTIAL DUTIES

  • Hands-on Management of the department responsible for the preparation of documentation packages and funding of lease and loan transactions. Manage department performance of complete and thorough analysis, verification, and audit of all documentation ensuring documentation and files are complete, organized, accurate, and have been prepared in accordance with approval(s), organizational policies, all applicable laws, sales and/or use tax requirements, and lien/title perfection.
  • Lead documentation negotiation process as it relates to equipment lease and loan documents, assignment agreements, vendor agreements, and third-party contracts. Engage in client and debt source document negotiations while ensuring the company’s economic and legal objectives are met resulting in agreements in form acceptable to all parties. Must possess thorough knowledge of equipment lease/loan documentation including drafting and negotiating documents in a commercially reasonable manner and limiting risk and protecting the position of the company through the life of the lease or loan. Ideal candidate will have superior negotiating skills.
  • Record maintenance oversight including audit and maintenance of paper and electronic customer files to be audit ready and fully compliant with all standard operating procedures and company’s policies across all departments. Maintain effective process to ensure that “follow-up” items are received on a prompt and timely basis and all records are updated accordingly.

QUALIFICATIONS

  • 3+ years of related work experience in the Equipment Leasing Industry or Finance Industry
  • Transactional experience including contract drafting and negotiation
  • Ability to organize, prioritize, manage complex transactions, exercise sound judgement, and be agile in a fast-paced environment
  • Demonstrate strong interpersonal skills interacting with customers and potential customers during initial meetings and throughout the credit underwriting, documentation, funding and reporting processes with ability to establish rapport and solid relationships with external & internal customers, and business partners
  • Ability to effectively manage a department of up to 5+ direct reports including the interviewing and hiring process as well as performance reviews and correctional employment plans
  • Excellent written and verbal communication skills
  • Proficiency with MS Office software and its related applications
